TERMS AND CONDITIONS FOR FRANCHISE

These Terms & Conditions (“Terms”) are the legal, responsibilities, and obligations of all prospective and approved franchise partners (“Franchisee”) of Flowmode Fitness, operated in India under the Master Franchise cycle of Clubfest Enterprises LLP (“Franchisor”). By applying for or entering into a franchise agreement, the Franchisee acknowledges and accepts these Terms.

FRANCHISE GRANT & BRAND USAGE

  • Franchise rights are granted solely at the discretion of the Franchisor.
  • You must strictly follow the brand guidelines, communication tone, visual identity, and operational standards of Flowmode Fitness.
  • Unauthorized use of brand assets, logos, proprietary content, or marketing materials is strictly prohibited.

OPERATIONAL STANDARDS & COMPLIANCE

Your information is collected from different sources, such as:

  • Maintaining advanced imported machines (Precor & Ziva) as per the mandatory equipment list.
  • Ensuring best-in-class hygiene, 24×7 accessibility, child service (where applicable), and adequate security measures.
  • Implementing Flowmode’s in-room training protocols, and the presence of trained Equipment/female staff as required.
  • Maintaining the Flow Coaches hierarchy (1 Master Coach + 1 levels) as per staffing policy.
  • Ensuring gym aesthetics, infrastructure, layout, and flow-based workout philosophy remain consistent across all centres.

PRE-SALES & MEMBERSHIP OFFERS

Pre-sales benefits such as Alpha Member Discounts (up to 30—45%), referral bonuses, flash 10x, or exclusive event invitations may vary by location. Franchisees must seek written approval before launching any promotional campaigns or discounts.

Complimentary induction (dietitian support, workout plan, delete notes, etc.) must follow the brand-authorized structure.

TECHNOLOGY & EQUIPMENT

  • All equipment must be procured through the Franchisor-approved vendors, ensuring authenticity and warranty validity.
  • Advanced machines, digital workout displays, and Precor/Ziva integrations must be installed exactly as per the brand’s technical guidelines.
  • The franchisee is responsible for ongoing maintenance and service to meet safety and performance standards.

TRAINING & STAFFING REQUIREMENTS

  • The Franchisee will provide on-boarding training for Flow Coaches, sales teams, and operations personnel.
  • Franchisees must maintain the minimum required staff structure, including certified trainers, dieticians (if applicable), front desk teams, and security personnel.
  • Any replacement or new hire must undergo mandatory training and certification as defined by the Franchisor.

MEMBERSHIP EXPERIENCE STANDARDS

Franchisee is required to ensure:

  • Smooth onboarding, induction, and personalized workout planning for members.
  • High-level hygiene standards, locker safety, surveillance systems, and a women-first environment.
  • Availability of premium amenities such as cardio machines, coffee machines, and hydration stations.

MARKETING, BRANDING & PUBLIC RELATIONS

All marketing campaigns (online, offline, and on-ground) must follow the official brand guidelines.

  • Franchisee cannot create independent marketing materials, taglines, or commercialization without any approval.
  • Digital content, including video clips (e.g., form Precor), must be used only as authorized.
  • Launch events, club nights, and Alpha Member privileges must be coordinated with the Franchisor.

FINANCIAL TERMS

  • Franchise fee, royalty, marketing fund contributions, and operational charges (where applicable) must be paid as per the franchise agreement.
  • Non-payment may result in penalties, suspension of services, or termination of rights.
  • You must maintain transparent financial records and provide access to books when requested.

CONFIDENTIALITY & INTELLECTUAL PROPERTY

  • You must maintain the confidentiality of all operational manuals, pricing structures, marketing strategies, and business processes.
  • All intellectual property, including workout formats, training modules, and technology systems, remains the exclusive property of the Franchisor.

TERMINATION & NON-COMPLIANCE

The Franchisor reserves the right to terminate the franchise agreement in cases of:

  • Brand guideline violations
  • Safety or hygiene lapses
  • Misuse of intellectual property
  • Failure to maintain staffing or equipment standards
  • Non-payment of fees or repeated operational negligence

Upon termination, the Franchisee must immediately cease all brand usage and hand over all assets defined in the agreement.

LEGAL GOVERNANCE

The laws of India govern this policy. Any disputes arising will be resolved through arbitration as specified in the franchise agreement. Court jurisdiction lies exclusively where the Franchisor’s registered office is located.

UPDATES & AMENDMENTS

Flowmode Fitness reserves the right to update or modify these Terms at any time to maintain global standards and operational excellence. Franchisees will be notified in advance of changes that impact operations.
